Terms of Service

By accessing or using Nexus ("the Service"), operated by Nexus ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Nexus is an AI-powered LinkedIn growth platform for B2B sales teams. The Service includes:

• AI-assisted LinkedIn post creation and publishing
• Ideal Customer Profile (ICP) monitoring and engagement signals
• Team amplification and reposting coordination
• Outreach campaign management and lead tracking
• LinkedIn profile auditing and optimization
• Analytics and performance tracking
• Integration with third-party tools (CRM, chat platforms, outreach tools)

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• One person or organization may not maintain more than one free account.
• You must be at least 18 years old to use the Service.

Nexus uses an organization-based model. When you create or join an organization:

• Organization admins can invite members, manage settings, and access billing.
• All data within an organization is shared among its members according to their role permissions.
• Organization admins are responsible for ensuring all members comply with these terms.
• Removing a member from an organization revokes their access to organization data.

5.1 Plans and Pricing

Nexus offers paid subscription plans. Pricing, features, and seat limits are displayed on our pricing page and may change with 30 days' notice.

5.2 Payment

• Subscriptions are billed in advance on a monthly recurring basis.
• Payment is processed securely by Stripe. We do not store payment card details.
• You authorize us to charge your payment method for all fees incurred.

5.3 Cancellation and Refunds

• You may cancel your subscription at any time through the billing settings page or Stripe customer portal.
• Cancellation takes effect at the end of the current billing period.
• No prorated refunds are provided for partial billing periods.
• We may offer refunds at our sole discretion for extenuating circumstances.

You agree not to use the Service to:

• Violate LinkedIn's Terms of Service, User Agreement, or Professional Community Policies
• Send spam, unsolicited messages, or engage in abusive outreach practices
• Scrape, harvest, or collect LinkedIn data beyond what the Service provides
• Impersonate other individuals or organizations
• Generate content that is illegal, defamatory, harassing, or misleading
• Attempt to gain unauthorized access to the Service or other users' data
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service in any way that could damage, disable, or impair its operation
• Exceed reasonable usage limits or abuse API rate limits

• Nexus uses AI (powered by Anthropic's Claude) to generate LinkedIn post drafts and profile suggestions.
• AI-generated content is provided as suggestions. You are solely responsible for reviewing, editing, and approving all content before publishing.
• We do not guarantee the accuracy, quality, or appropriateness of AI-generated content.
• You retain ownership of content you create and publish through the Service.
• We may use anonymized, aggregated usage patterns to improve the Service, but we do not use your content to train AI models.

The Service integrates with third-party platforms including LinkedIn, Slack, Microsoft Teams, Zoom, HubSpot, Dripify, and Phantombuster. When using integrations:

• You are responsible for complying with each third-party's terms of service.
• We are not responsible for the availability, accuracy, or conduct of third-party services.
• API keys and credentials you provide are stored securely but at your own risk.
• You may disconnect integrations at any time through the settings page.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

• You retain ownership of your data. We do not claim ownership of content you create.
• You grant us a limited license to process your data solely to provide the Service.
• We implement reasonable security measures to protect your data.
• Upon account deletion, we will delete your data within 30 days, except as required by law.

• The Service, including its design, code, features, and documentation, is owned by Nexus and protected by intellectual property laws.
• You may not copy, modify, distribute, or reverse-engineer any part of the Service.
• The Nexus name, logo, and branding are our trademarks.
• You retain all rights to your own content and data.

• We strive for high availability but do not guarantee uninterrupted service.
• We may perform maintenance, updates, or modifications that temporarily affect availability.
• We are not liable for downtime caused by third-party services (LinkedIn, Stripe, Supabase, etc.).
• We reserve the right to modify, suspend, or discontinue the Service with reasonable notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
• WE ARE NOT LIABLE FOR ANY CONSEQUENCES ARISING FROM CONTENT YOU PUBLISH ON LINKEDIN OR OTHER PLATFORMS.

You agree to indemnify and hold harmless Nexus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Content you create, publish, or distribute through the Service
• Your violation of these terms or any applicable law
• Your violation of any third-party rights

• You may terminate your account at any time by contacting us or through account settings.
• We may suspend or terminate your account for violation of these terms, with or without notice.
• Upon termination, your right to use the Service ceases immediately.
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance.
